The VP of Tax is a key member of the senior finance team and an ambassador and advocate for tax across the business and externally. This is a very visible role within the business and interacts with the Executive Committee, CEO and Board on a regular basis, to be successful it will require someone who can operate at the highest level and gain respect through influence and reputation.. The VP of Tax will be a strong and trusted leader for the Global Tax team, which comprises approximately 20 professionals, based mainly in the US and also in the UK and Canada. The role is responsible for the setting and delivery of the Company’s tax strategy, management of the effective tax and cash tax rates, delivery of timely and accurate tax compliance worldwide, and the provision of tax disclosures in the consolidated financial statements. The role holder will be expected to optimize the Company’s financing and operating structure and provide advice to the Company, delivering value and high standards of risk governance.. Responsibilities:. Set the Global Tax Strategy to maintain an optimal effective tax rate and cash tax rate, create value and mitigate risk.. Ensure the global tax position is accurately reflected in the Group’s financial statements. Ensure compliance with SEC group reporting requirements including annual and quarterly tax statements and liaise with the external auditors.. Provide forecasts and guidance regarding effective tax rates and cash taxes.. Present Board and Audit Committee reports on the Group’s tax position and strategy.. Manage the UK tax residence position of the parent company and ensure good corporate governance across all legal entities.. Manage and optimize the international holding company and financing structure. In particular ensuring that the Company’s Swiss and UK financing entities are resourced and performing appropriate significant people functions, in line with local laws and OECD guidelines.. Optimize the supply chain ensuring commerciality with robust transfer pricing while maximizing value.. Ensure the Company’s tax returns are accurate and submitted on a timely basis and manage the external Global Compliance & Reporting provider.. Ensure tax risk management operates effectively across the Company. Review and improve controls, systems and processes, ensuring use of appropriate technology. In particular, implementation of a robust and effective SOX control framework.. Pro-actively manage audits across all taxes and geographies and maintain positive and transparent relationships with Tax Authorities.. Pro-active business partnering with cross-functional stakeholders and active participation in global business development discussions, providing tax advice and identifying opportunities including ensuring optimization of credits and incentives.. Optimize the financing and operating structures for new businesses, acquisitions, divestments and other group developments and implement appropriate arrangements within approved risk framework.. Ensure that the Company’s international transfer pricing requirements are met, such as ensuring inter-company transactions are appropriately priced, maintaining OECD compliant Master-Local file transfer pricing documentation and managing the Country by Country Reporting process.. Manage, coach and develop the team to provide an effective, business focused tax function that adds value across the Company. Take an active role in the team’s personal and technical development.. Work with the wider Finance Leadership Team to influence and develop the Finance agenda for the business.. Actively participate as a member of the Treasury Committee, considering treasury policy, including financial structures and investments, tax and treasury strategy, policies and certain transactions on behalf of the Company.. Represent Ferguson plc on external industry committees as appropriate and raise the profile of Ferguson’s tax department.. Manage the relationship with tax advisors.. Follow the Ferguson Code of Conduct, always acting with integrity.. Qualifications:. Significant experience of building and leading a tax function in a large, international, public company are essential.. 15+ years of corporate tax experience, with the ideal candidate having a mix of both private/Big 4 experience with at least five years in a tax leadership capacity.. Experience of presenting tax strategy and results to Board and Audit Committee.. Evidence of managing international tax disputes and maintaining positive relationships with global tax authorities.. In-depth knowledge of complex international taxation and transfer pricing issues in a complex business.. Qualified as a CPA, a Master’s in Taxation is a plus, with relevant business experience.. Strong knowledge of US GAAP and ASC 740 (FAS 109/FIN 48).. A strong track record of managing and building relationships with tax authorities and other external stakeholders.. Experience of managing through change.. Demonstrable experience in leading and managing a team of tax professionals, strong people and team management skills.. -.
